Dette speciale undersøger, hvordan et generationsskifte i et familieejet kapitalselskab kan gennemføres på en fagligt og skattemæssigt hensigtsmæssig måde. Med udgangspunkt i den fiktive casevirksomhed NordWind Components ApS analyseres, hvordan forskellige metoder til værdiansættelse – herunder den skematiske værdiansættelsesmetode, Discounted Cash Flow (DCF) samt multipelbaseret værdiansættelse – påvirker den beregnede selskabsværdi og dermed overdragelsessum, beskatning og finansiering ved ejerskifte. Specialet kombinerer en teoretisk gennemgang af relevante selskabsretlige og skatteretlige regler med en praktisk anvendelse i casen, hvor særligt successionsreglerne, pengetankreglen og aktieombytning undersøges som værktøjer til at skabe en skatte- og likviditetsmæssigt effektiv overdragelse. Analysen viser, at valget af værdiansættelsesmetode har væsentlig betydning for den fastsatte værdi, og at DCF-modellen i praksis giver den mest nuancerede vurdering, fordi den inddrager fremtidig indtjening og vækstmuligheder. This master’s thesis explores how generational succession in a family-owned capital company can be carried out in a professionally sound and tax-efficient manner. Using the fictional case company NordWind Components ApS, it analyzes how different valuation methods – including the guideline valuation method, the Discounted Cash Flow (DCF) model, and multiple-based valuation – influence the assessed company value and thereby the transfer price, taxation, and financing of the ownership transfer. The thesis combines a theoretical review of relevant corporate and tax law provisions with practical application in the case, focusing on tax succession rules, the money tank rule, and share-for-share exchanges as instruments for designing a tax- and liquidity-efficient succession. The analysis shows that the choice of valuation method has a significant impact on the estimated value and that, in practice, the DCF model provides the most nuanced assessment because it incorporates future earnings potential and growth opportunities. It further highlights that tax succession can ease liquidity pressure during the transfer, while the money tank rule may restrict the use of succession, particularly in holding companies with substantial passive investments. Finally, the thesis concludes that share-for-share exchanges can be an appropriate tool for establishing a holding structure that increases ownership flexibility, improves financing options, and supports risk management. Across the analyses, the thesis emphasizes the importance of thorough planning in which legal, tax, financial, and family-related considerations are integrated to secure the company’s continued operation and long-term development through the generational transition.
